2. Acceptance of Terms

By accessing the website https://hrhkillo.com ("Website"), submitting an enquiry, accepting a quotation, signing a Statement of Work ("SoW"), or making any payment to HRHKILLO, you ("you", "User", "Client") expressly agree to be bound by these Terms & Conditions, our Privacy Policy, Refund Policy, Cancellation Policy, Shipping & Delivery Policy and Pricing Policy. If you do not agree, please do not use the Website or our services.

3. Eligibility

• You must be at least 18 years of age and competent to enter into a legally binding contract under the Indian Contract Act, 1872.
• If you are accepting these Terms on behalf of an organisation, you warrant that you have the authority to bind that organisation.
• Our services are offered to Indian residents and Indian-registered businesses, and to international clients in jurisdictions where such offering is lawful.

4. Services Offered

HRHKILLO is an IT and software services company ("Concept Based Developers"). We provide the following professional services on a contract / project / time-and-material basis:

1. Custom Software Development (desktop, enterprise, SaaS)
2. Web Development & Web Application Engineering
3. Mobile App Development (Android & iOS, native & cross-platform)
4. Networking Solutions (LAN/WAN, firewall, VPN, security)
5. PC Repairs & Hardware Service
6. Mobile Device Servicing, Unlocking & Firmware Flashing
7. Cloud & DevOps (Azure, AWS, CI/CD, containerisation)
8. Cyber Security Consulting (assessment, hardening, audits)
9. API Design, Backend Engineering & Third-Party Integration
10. Fintech & Financial Software (payments, billing, dashboards — non-aggregator)

HRHKILLO is a service provider. We do not operate as a payment aggregator, payment gateway, banking company, NBFC, lender, wallet issuer, exchange, or escrow agent. We do not deal in, sell, or facilitate trade in any goods or services listed in the "Negative, Risky and Restricted Categories" of any payment aggregator (including but not limited to gambling, cryptocurrency exchange, adult content, weapons, drugs, counterfeit goods, MLM/pyramid schemes, unregulated lending, etc.).

5. Engagement & Quotation

• Each engagement begins with a written quotation, proposal, or Statement of Work (SoW) signed or accepted by both parties (electronic acceptance is valid).
• Specifications, deliverables, milestones, timelines, and fees are set out in the SoW.
• In case of conflict between these Terms and a signed SoW, the SoW shall prevail with respect to that engagement.

6. Payments & Invoicing

• All fees are quoted in Indian Rupees (INR ₹) unless otherwise stated and are exclusive of applicable GST (currently 18%) and other statutory levies.
• Standard commercial terms: an advance / kick-off payment of typically 30%–50%, milestone-based interim payments, and the balance on delivery, unless otherwise agreed in writing.
• Payments may be made via UPI, IMPS/NEFT/RTGS bank transfer, recognised payment gateways, or any other lawful mode advised on the invoice.
• Invoices are payable within 7 (seven) days of issue. Late payments attract interest at 1.5% per month (compounded monthly) until cleared.
• HRHKILLO reserves the right to suspend work, withhold deliverables, or terminate the engagement if a Client fails to pay an undisputed invoice on time.

6A. Pay-ins, Payouts & Use of Payment Aggregators

7. Delivery & Timelines

• HRHKILLO sells digital services and intangible deliverables. Where applicable, deliverables are made available via secure digital download, hosting account, source-code repository, email, or cloud transfer.
• Indicative timelines for each service category are published on our Shipping & Delivery Policy page.
• Timelines may be revised in writing if the Client delays approvals, content delivery, or payment.

8. Client Obligations

• Provide accurate, complete, and lawful information, content, credentials, and assets required for the project.
• Respond to clarifications, approvals, and review requests within reasonable timelines.
• Ensure that any third-party content, data, or APIs supplied to HRHKILLO are licensed and lawful.
• Maintain backups of any data shared with HRHKILLO.
• Use the deliverables only for lawful purposes and within the scope of the licence granted.

9. Prohibited Use

You shall not use the Website or our services to:

• Violate any applicable Indian or international law, regulation, or third-party right;
• Engage in fraud, money laundering, terrorism financing, or any activity prohibited under PMLA, 2002 or RBI Master Directions;
• Build, distribute, or market any software/product that violates intellectual property rights, defames, deceives, or harms users;
• Reverse-engineer, copy, or resell HRHKILLO's proprietary tools, frameworks, or pre-built libraries;
• Transmit malware, viruses, ransomware, or any malicious code through any system delivered by us;
• Engage HRHKILLO for projects related to gambling, betting, lotteries, adult content, weapons, narcotics, counterfeit goods, MLM/Ponzi schemes, unregulated lending, cryptocurrency exchanges, or any other prohibited category.

10. Intellectual Property

• Pre-existing IP: Each party retains ownership of its pre-existing IP, tools, frameworks, and reusable components.
• Project deliverables: Upon receipt of full payment, HRHKILLO grants the Client a perpetual, non-exclusive, worldwide licence to use the bespoke deliverables for the Client's internal/commercial use, unless a full IP transfer is expressly agreed in the SoW.
• HRHKILLO Property: The HRHKILLO name, logo, brand, website design, source code, and any reusable libraries remain the sole property of HRHKILLO.
• Unauthorised reproduction or commercial redistribution of any HRHKILLO Property is strictly prohibited.

11. Confidentiality

Each party shall keep confidential all non-public information received from the other and shall use it only for the purpose of performing the engagement. This obligation continues for 3 (three) years after the engagement ends, except for trade secrets, which remain confidential indefinitely.

12. Warranty Disclaimer

The Website and services are provided on an "as-is" and "as-available" basis. To the maximum extent permitted by law, HRHKILLO disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Website or services will be uninterrupted, secure, or error-free. Bespoke deliverables carry a 30-day post-delivery defect-fix warranty for genuine bugs, unless otherwise agreed in writing.

13. Limitation of Liability

To the maximum extent permitted by law:

• HRHKILLO's aggregate liability for any claim arising out of or in connection with the services shall not exceed the total fees actually paid by the Client to HRHKILLO for the specific engagement giving rise to the claim, in the three (3) months preceding the event.
• HRHKILLO shall not be liable for any indirect, incidental, special, punitive, or consequential damages, including loss of profit, revenue, data, business opportunity, or goodwill.
• HRHKILLO shall not be responsible for the acts or omissions of any third-party platform, hosting provider, payment gateway, or API used in the Client's project.

14. Indemnification

You agree to indemnify, defend, and hold harmless HRHKILLO, its director, employees, and contractors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of: (a) your breach of these Terms; (b) your misuse of the deliverables; (c) any content, data, or instruction provided by you; (d) infringement of third-party rights by you; or (e) violation of applicable law by you.

15. Third-Party Services

Projects may rely on third-party platforms, APIs, hosting providers, payment gateways, SDKs, and open-source components. Their use is governed by their own terms. HRHKILLO is not responsible for their availability, security, or pricing changes.

16. Force Majeure

Neither party shall be liable for any failure or delay in performance caused by events beyond reasonable control, including acts of God, natural disasters, pandemics, war, riots, government action, internet/telecom failure, cyber-attacks, or strikes.

17. Termination

• Either party may terminate an engagement for material breach if the breach is not cured within 15 (fifteen) days of written notice.
• HRHKILLO may terminate immediately and without refund if the Client engages in fraud, illegal activity, prohibited use, or non-payment.
• On termination, the Client shall pay for all work completed and out-of-pocket costs incurred up to the date of termination.

18. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Subject to mandatory consumer protection rules, the courts at Visakhapatnam, Andhra Pradesh shall have exclusive jurisdiction. Disputes may, at HRHKILLO's option, be referred to arbitration under the Arbitration and Conciliation Act, 1996, seated at Visakhapatnam, conducted in English by a sole arbitrator.

19. Changes to Terms

HRHKILLO may update these Terms from time to time. The "Last updated" date at the top of this page reflects the latest revision. Continued use of the Website or services after a change constitutes acceptance of the revised Terms.
